These Terms and Conditions govern your access to and use of the Sally.ai website and AI phone secretary services, operated by Sally AI LLP, an Oklahoma limited liability partnership.
1. Description of Services
Sally.ai provides AI-powered virtual phone answering, call handling, transcription, call routing, automation, and related business communication tools. The Services rely on artificial intelligence systems and third-party infrastructure providers. Outputs are probabilistic and may not always be accurate, complete, or error-free.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.
3. Account Registration
You agree to provide accurate and current information, maintain the confidentiality of your credentials, and be responsible for all activity under your account. We may suspend or terminate accounts at our discretion.
4. Free Trial
Sally.ai may offer a free trial period. Trial length and feature access are determined at our discretion. At the end of the trial, billing will begin automatically unless canceled before the trial expires. No refunds are provided for failure to cancel before billing begins.
5. Fees and Billing
Services are billed on a month-to-month subscription basis. All fees are non-refundable. Failure to pay may result in immediate suspension or termination. We may modify pricing with reasonable notice.
6. Call Recording and Legal Compliance
Sally.ai may record, transcribe, analyze, and process call audio, metadata, and communications. You are solely responsible for complying with all federal, state, and international call recording laws, obtaining required consent from callers, and ensuring lawful use of AI-generated communications.
7. Data Processing
The Services may use third-party infrastructure, AI model providers, telecommunications carriers, and cloud storage services to operate. By using the Services, you acknowledge and consent to processing of audio and text data, automated analysis by AI systems, and data handling by integrated third-party providers.
8. Acceptable Use
You agree not to use Sally.ai to facilitate illegal activity, conduct fraud or deception, harass or threaten individuals, support unlawful industries, or violate telecommunications or privacy laws.
9. AI Disclaimer
You acknowledge that AI systems may generate inaccurate or unintended outputs, call routing may not always function as expected, and automated decisions may require human oversight.
10. Intellectual Property
All software, branding, systems, and proprietary materials are owned by Sally AI LLP. You receive a limited, non-exclusive, non-transferable license to use the Services while subscribed. You retain ownership of your business data.
11. Limitation of Liability
To the maximum extent permitted by Oklahoma law, Sally AI LLP shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages. Our total aggregate liability shall not exceed the amount paid by you during the three months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Sally AI LLP from any claims arising from your misuse of the Services, violation of applicable laws, failure to obtain required call consent, or your business operations.
13. Termination
You may cancel your subscription at any time. We may suspend or terminate Services immediately if you violate these Terms, payment fails, or we reasonably suspect unlawful conduct.
14. Governing Law
These Terms shall be governed by and construed under the laws of the State of Oklahoma. Any disputes shall be resolved exclusively in the state or federal courts located in Oklahoma.
This Master Services Agreement is entered into by and between Sally AI LLP, an Oklahoma limited liability partnership, and the client entity executing this Agreement.
1. Services
Provider shall deliver AI-powered phone answering, routing, transcription, automation, and related business communication services. Accuracy, uninterrupted availability, and human-level interpretation are not guaranteed.
2. Third-Party Infrastructure and Billing
Billing and subscription management are processed through Ulio AI. Client authorizes recurring charges via Ulio AI. Provider is not liable for failures caused by third-party infrastructure, telecommunications carriers, AI model providers, or cloud services.
3. Subscription Term
Services are provided on a month-to-month basis and renew automatically unless canceled before the next billing cycle. No refunds are provided unless required by law.
4. Fees and Payment
Client agrees to pay all applicable subscription fees and maintain valid payment information. Failure to remit payment may result in immediate suspension or termination.
5. Call Recording and Legal Compliance
Calls may be recorded, transcribed, analyzed, and processed by AI systems. Client is solely responsible for complying with all applicable federal and state recording and consent laws.
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER OKLAHOMA LAW, PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT DURING THE THREE MONTHS PRECEDING THE CLAIM.
8. Arbitration Agreement
Any dispute arising out of this Agreement shall be resolved exclusively through binding arbitration administered in Oklahoma in accordance with the rules of the American Arbitration Association. The Parties waive their right to a jury trial.
9. Class Action Waiver
All claims must be brought in individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
10. Governing Law
This Agreement shall be governed by the laws of the State of Oklahoma, without regard to conflict of law principles.
